Terms of Service.

These Terms of Service (“Terms”) govern your use of the AI employee services provided by Kea Concepts (“we”, “us”, “our”). By signing up for or using our service, you agree to be bound by these Terms. If you do not agree, please do not use our service.
1. Service description
Kea Concepts provides an AI-powered phone receptionist service that answers incoming phone calls on behalf of your business, handles enquiries, books appointments, sends SMS confirmations, and provides call summaries and analytics through an online dashboard. The AI employee learns from your business information and feedback to improve its performance over time.
2. Account responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete business information to ensure the AI employee can represent your business appropriately. You agree to notify us immediately of any unauthorised use of your account.
3. Billing and payment
- Our service is billed as a monthly subscription. Prices are quoted in New Zealand Dollars (NZD) and are subject to Goods and Services Tax (GST) at the prevailing rate.
- Payment is processed via Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis.
- You may cancel your subscription at any time by providing 30 days' written notice. Your service will continue until the end of the current billing period following your notice.
- We reserve the right to change our pricing with 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new pricing.
4. Acceptable use
You agree not to use our service for any unlawful purpose or in a manner that could damage, disable, or impair the service. Specifically, you must not:
- Use the service to make or facilitate fraudulent, threatening, or harassing communications.
- Attempt to reverse-engineer, copy, or extract the underlying AI models or proprietary technology.
- Misrepresent the AI employee as a human when legally required to disclose automated systems.
- Exceed reasonable usage limits or use the service in a way that negatively impacts other customers.
5. AI limitations disclaimer
Our AI employee is designed to be helpful and accurate, but it is not infallible. You acknowledge and agree that:
- The AI may occasionally misunderstand callers, record incorrect information, or make booking errors. You are responsible for reviewing and verifying all bookings and caller information.
- The AI is not a substitute for emergency services. It should not be relied upon for medical, legal, or safety emergencies.
- AI performance may vary depending on call quality, accents, background noise, and the complexity of enquiries.
- We continuously improve the AI but do not guarantee error-free operation at any time.
6. Liability limitations
To the maximum extent permitted by New Zealand law:
- We provide the service “as is” and make no warranties, express or implied, regarding the accuracy, reliability, or availability of the AI employee.
- Our total liability for any claim arising from or related to the service is limited to the fees you have paid us in the three months preceding the claim.
- We are not liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost bookings, or business interruption.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including under the Consumer Guarantees Act 1993 where applicable.
7. Data processing
By using our service, you acknowledge that phone calls will be recorded, transcribed, and processed by AI systems. You are responsible for informing your callers that calls may be answered by an AI and recorded, in accordance with applicable New Zealand law. 8. Intellectual property
All intellectual property in the service, including the AI models, software, branding, and documentation, remains the property of Kea Concepts. You retain ownership of your business data, including call recordings and booking information associated with your account.
9. Termination
Either party may terminate the service with 30 days' written notice. We may also suspend or terminate your account immediately if you breach these Terms or use the service in a manner that we reasonably consider harmful to us, other customers, or third parties.
Upon termination, your access to the dashboard and AI employee will cease. We will retain your data for 30 days after termination to allow you to request an export, after which it will be deleted in accordance with our Privacy Policy.
10. Governing law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or the service will be subject to the exclusive jurisdiction of the courts of New Zealand.
11. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes via email or through the service dashboard at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
